L&D Nexus is an AI-powered online marketplace that connects Learning & Development (L&D) professionals, consultants, and trainers with businesses and individuals seeking training services, resources, or advisory support.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement in your jurisdiction to use our Services. By registering or using our Services, you represent and warrant that you meet these requirements.

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate, current, and complete information during registration.
• You must immediately notify us of any unauthorized access or use of your account.
• We reserve the right to suspend or terminate your account for any violation of these Terms or applicable laws.

You agree to use our Services for lawful purposes only and in accordance with these Terms. You agree not to:

• Violate any local, national, or international law or regulation;
• Upload or distribute harmful, offensive, or unlawful content;
• Infringe on intellectual property rights;

5. User Roles and Responsibilities
There are two primary user roles on our platform:
a. L&D Professionals / Trainers / Consultants

• Must submit truthful profiles, certifications, and qualifications.
• Are responsible for delivering agreed services ethically and professionally.
• Agree to platform commissions, payment terms, and rating systems.

b. Clients / Companies / Learners

• Must respect platform rules when booking or engaging professionals.
• Agree to fair use of content and services.
• Will not misuse contact information or violate communication policies.
• 6. Payments and Fees
• Payment processing is handled via secure third-party gateways (e.g., Stripe).
• L&D Nexus may charge commissions or platform fees, disclosed at the time of booking or profile setup.
• All fees are in AED or USD, depending on your location.
• Users agree to pay all applicable taxes or VAT required under local laws.

7. Intellectual Property
All content on the platform, including logos, trademarks, text, videos, software, and graphics, is the property of L&D Nexus or its licensors and is protected under intellectual property laws. Users may not copy, modify, distribute, or exploit any content without written permission.
8. Privacy and Data Protection
Our collection, use, and sharing of your personal data are governed by our Privacy Policy. Key points include:

• Compliance with UK GDPR and UAE Federal Data Protection Law No. 45 of 2021.
• We collect identity, contact, professional, technical, and usage data.
• You have rights to access, rectify, delete, or restrict processing of your data.
• Personal data is used to deliver services, improve the platform, and support analytics and marketing (with consent).

We reserve the right to suspend or terminate your access to the Services if you violate these Terms, engage in fraud, or misuse the platform. You may also terminate your account at any time. Upon termination, all rights granted to you will cease, and any outstanding fees remain payable.

To the maximum extent permitted by law, L&D Nexus is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform or services. In no event shall our total liability exceed the amount you paid to us in the previous 12 months.
15. Indemnification
You agree to indemnify and hold harmless L&D Nexus, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your breach of these Terms or use of the Services.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of:

• United Kingdom (for users outside the UAE), under UK GDPR and English law.
• United Arab Emirates (for users within the UAE), under UAE Data Law No. 45 of 2021.

Disputes will be subject to the exclusive jurisdiction of the competent courts in London, UK, or Dubai, UAE, depending on user location.
17. Changes to the Terms
We may revise these Terms at any time to reflect changes in our services, legal requirements, or policies. We will notify users via email or platform notice. Continued use of the Services after such changes constitutes acceptance.

19. Supplemental Terms for UAE Users
UAE users agree to comply with local regulations, including KHDA requirements (if applicable), and consent to cross-border data transfers per applicable data law. Any disputes arising in the UAE shall be resolved per UAE civil law.
20. Entire Agreement
These Terms, along with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and L&D Nexus and supersede any prior understandings or agreements.
